INTRODUCTION
Welcome to Goodhunt (the “App”), provided by GOODHUNT PTE. LTD., its affiliates, subsidiaries and related entities (hereinafter referred to as “Goodhunt ,” “we,” or “us”). The following terms, together with any documents expressly incorporated herein by reference (collectively, these “Terms” or this “Agreement”), govern your access and use of the App. In order for you to better use our App, please carefully read, fully understand these Terms, in particular the terms related to limitations of liabilities.
THESE TERMS REQUIRE THE USE OF ARBITRATION TO RESOLVE DISPUTES, RATHER THAN JURY TRIALS. SEE SECTION X BELOW.
IF YOU DO NOT AGREE TO THESE TERMS, DO NOT DOWNLOAD, INSTALL, ACCESS, OR USE THE APP. BY DOWNLOADING, INSTALLING, ACCESSING, OR USING THE APP, YOU (A) ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTAND THIS AGREEMENT; (B) REPRESENT THAT YOU ARE OF LEGAL AGE TO ENTER INTO A BINDING AGREEMENT; AND (C) ACCEPT THIS AGREEMENT AND AGREE THAT YOU ARE LEGALLY BOUND BY ITS TERMS.

I. OVERVIEW
1.1 The App is for your personal and non-commercial use only.
1.2 The App and information contained in or made available through the App (including but not limited to statistics and suggestions) cannot replace or be a substitute for the services of trained professionals in any field, including, but not limited to, healthcare and medical. In particular, you should regularly consult a doctor in all matters relating to physical or mental health, particularly concerning any exercise routines. We and our licensors or suppliers make no representations or warranties concerning any treatment, action, or application of medication or preparation by any person following the information offered or provided within or through the App.
1.3 The content of this Agreement also includes the Privacy Policy and all other rules, announcements or notices Goodhunt have published or may publish in the future on or in connection with the App. You shall also comply with the foregoing rules, announcements, notices when they are issued. If you do not agree to this Agreement, you should immediately stop registering/activating and discontinue the use of our App. All information we collect and use through or in connection with our App is subject to our Privacy Policy. Additional terms and conditions may also apply to a specific product or service. The Privacy Policy, these additional terms and conditions, and all other rules, announcements or notices Goodhunt has published or may publish in future are hereby incorporated by this reference to this Agreement. If you do not agree to any of these additional terms, you shall immediately discontinue the use of our App.
1.4 Goodhunt has the right to revise this Agreement (including but not limited to any new terms and amendments to existing provisions) at any time in its sole discretion and to announce the changes in the form of an online bulletin without providing a notice to you separately. However, when any significant changes are made, we will notify you via the App or other means before the changes become effective. All changes become effective upon publication, immediately or at a time specified therein. Your continued use of our App following the posting of the revised Agreement means that you accept and agree to the changes. If you do not agree to the changes, you should immediately stop using our App.
 
II. PRODUCT AND SERVICE INTRODUCTION
2.1 We will do our best to provide unimpeded online services, but the platform’s network access services may be affected by a number of factors linked to accounts that are blocked, restricted or terminated. We will not be responsible for the loss or inconvenience caused. You understand and agree that interruptions of our online services may occur as normal events that are out of our control and that we have no control over the third-party networks or services that we may use to provide you with our App. We shall not be responsible for any losses or damages resulting from such interruptions.
2.2 Certain portions of the App may require the payment of a fee or permit you to make purchases. For those fees, we will give you a clear hint before you pay. You can use and continue to use those App when you confirm your willingness to pay the relevant fees. You are responsible for all taxes in connection with your purchases, except those which we are required by law to remit.
2.3 The App may give you the ability to participate in challenges and contests. Such challenges and contests may have separate terms that appear on the App and will apply to you. Participation in such challenges and contests is subject to these Terms and any disclosures we place on the App.
2.4 The App may give you the ability to earn points and rewards and use virtual items, such as coins. Such points, rewards and coins are not transferrable, have no cash value. They can be awarded, redeemed, added or removed at Goodhunt ’s sole discretion.
2.5 The information in the App may contain typographical errors or other errors or inaccuracies and may not be complete or current. We therefore reserve the right to correct any errors, inaccuracies or omissions and to change or update information at any time without prior notice. We do not, however, guarantee that any errors, inaccuracies or omissions will be corrected. We reserve the right to refuse to fill any orders that you may place based on information on the App that may contain errors or inaccuracies, including, without limitation, errors, inaccuracies or out-of-date information regarding pricing, shipping, payment terms, or return policies.
2.6 Replacements, modifications, and upgrades
2.6.1 In order to enhance your experience and improve the service content, Goodhunt has the right to develop new features based on your feedback and the information collected through your use.
2.6.2 For the improvement, enhancement and further development of services, Goodhunt has the right to provide software updates (including software upgrades, modifications, enhancements, version upgrades, etc.). Goodhunt may from time to time in its sole discretion develop and provide updates to our App, which may include upgrades, bug fixes, patches, other error corrections, and/or new features (collectively, including related documentation, "Updates"). Updates may also modify or delete in their entirety certain features and functionality. You agree that Goodhunt has no obligation to provide any Updates or to continue to provide or enable any particular features or functionality.
2.6.3 You understand and agree that Goodhunt has the right not to notify you of the Updates or any changes to or restrictions of any features or functionality.
2.6.4 When a new version is released, the old version may not be available. You shall promptly download and install the latest version and acknowledge and agree that our App or portions thereof may not be available or properly operate should you fail to do so.
2.7 You agree to comply with all terms, conditions, guidelines and rules of any third party service or platform with which you use the App, including but not limited to, your internet service provider or mobile platform provider. If you have downloaded the App via the iTunes Store, the following shall apply: You acknowledge and agree that these Terms are solely between you and us, not Apple, and that Apple has no responsibility for the App. Your use of the App must comply with Apple’s App Store Terms and Conditions, located at http: www.apple.com/legal/internet-services/itunes/us/terms.html. You acknowledge that Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the App. In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price, if any, for the App to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the App, and any other claims, losses, liabilities, damages, costs or expenses attributable to any failure to conform to any warranty will be solely governed by these Terms and any law applicable to us as provider of the software. You acknowledge that Apple is not responsible for addressing any claims of you or any third party relating to the App or your possession and/or use of the App including, but not limited to: (i) product liability claims; (ii) any claim that the iTunes-Sourced Software fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection or similar legislation; and all such claims are governed solely by these Terms and any law applicable to us as provider of the App. You acknowledge that, in the event of any third party claim that the App or your possession and use of the App infringes that third party’s intellectual property rights, we, not Apple, will be solely responsible for the investigation, defense, settlement and discharge of any such intellectual property infringement claim to the extent required by these Terms. You and we acknowledge and agree that Apple, and Apple’s subsidiaries, are third party beneficiaries of these Terms as relates to your license of the App, and that, upon your acceptance of the these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms as relates to your license of the App against you as a third party beneficiary thereof.
 
III. INTELLECTUAL PROPERTY
3.1 Goodhunt owns all rights to App (including but not limited to intellectual property rights and ownership). All copyrights and all other intellectual property rights of Goodhunt , and all information related to Goodhunt , including but not limited to: words and their combinations, icons, ornaments, color combinations, interface designs, layout frames, relevant data, printed materials, or electronic documents are protected by the copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws and relevant international treaties.
3.2 Goodhunt has patent rights, patent application rights, trademarks, copyrights and other intellectual property rights in relation to Goodhunt products and related services. Goodhunt reserves and shall retain its entire right, title, and interest in and to the App, including all copyrights, trademarks, patents, patent applications and other intellectual property rights therein or relating thereto. Goodhunt does not grant you any intellectual property rights because of this Agreement or by providing the related App to you. The rights not expressly granted to you herein are reserved by Goodhunt .
3.3 You are hereby granted a limited, nonexclusive, nontransferable, nonsublicensable, and personal license to access and use the App provided, however, that such license is subject to your compliance with these Terms.
 
IV. PRIVACY POLICY
4.1 The protection of user personal information is a basic principle of Goodhunt . Goodhunt will collect, use, store, share, transfer and otherwise process your personal information in accordance with the provisions of this agreement, the Privacy Policy and applicable data protection laws.
4.2 You may need to fill out some necessary information in the process of registering your account or using the App. You may be required to provide information about your true identity if the local laws and regulations applying to you require you to do so. If you provide incomplete information, you may not be able to use the App or be limited in the course of use.
 
V. USER ACCOUNTS, PASSWORD, AND SECURITY
5.1 Registration Qualification
You confirm that you shall be a natural person, legal person or other organization with full capacity to register with our App. If you do not have the aforementioned capacity, you (or your guardian if you are a minor) shall be responsible for all the consequences resulting from it, and Goodhunt shall have the right to cancel or permanently freeze your account and retain the right to claim damages from you or your guardian. You must be at least 18 years of age and the age of majority in your place of residence to use the App, unless consent is provided by your parent or guardian.
5.2 In order to fully use the App, you are required to register for an account. You are responsible for the authenticity, legality, validity and completeness of the information provided when you register the Goodhunt account. You are responsible to maintain and update your personal information in a timely manner to ensure the authenticity, legality and validity of the information. To have a full access to our App, you may be asked to provide certain registration details or other information. It is a condition of your use of our App that all the information you provide is correct, current, and complete.
5.3 Goodhunt reminds you to protect your account and password and do not disclose the account number and password to others. You are responsible for your account and password confidential and responsible for all activities that occur under your account and password. Goodhunt cannot and will not be liable for any loss you incurred as a result of your failure to comply with the provisions of this Agreement. If you find any unauthorized use of your account and password, you must immediately notify Goodhunt . You can submit your request via email to support@goodhunt.com.
5.4 You can use a nickname with the account. The nickname you use shall not infringe the rights and interests of others.
5.5 In using the App and particularly when going to or otherwise accessing locations in the real world as part of the game, you agree to be aware and mindful of your surroundings and to play the game safely. You also agree not to trespass or otherwise attempt to gain access to any private property or other location that you are not lawfully permitted to access.
5.6 The App may allow you to share your location with other users of the App. You can turn off this functionality at any time. Do not share your location information if you are concerned about your safety or security or if you do not wish to share your location with third parties.
5.7 You may not use any location data in relation to any other user for the purposes of harassment or abuse.
5.8 You may not share any location data in relation to any other user publicly or private and you may not post location data in relation to any other user on any other platform or website.

VI. USER’S INSTRUCTION
6.1 You agree to use the App in compliance with the following provisions:
6.1.1 All acts carried out in accordance with local laws, regulations and Goodhunt ’s rules and requirements, not contrary to social public interest or public morals, not to harm the rights and interests of others, do not violate the relevant rules of this Agreement. You agree to comply with all applicable laws and regulations, Goodhunt ’s rules and requirements, and this Agreement; you agree not to take any actions contrary to public interests or violate the rights and interests of others.
6.1.2 Unless otherwise agreed by you and Goodhunt , you shall not make commercial use of any data or information acquired from Goodhunt , including but not limited to the use of all information or courses displayed in our App in any manner, such as reproduction and dissemination, without the prior written consent of Goodhunt .
6.1.3 You agree not to use any device, software or program to intervene or attempt to intervene in the normal operation of Goodhunt or any transactions or activities being carried out on our App or exceed the permitted access granted to you by Goodhunt .
6.1.4 Except as otherwise required by law, no individual or organization may in any way copy, reprint, quote, link, crawl or otherwise use the contents of our App, in whole or in part, without express written permission by Goodhunt .
6.1.5 You shall not use the App or any content or information in any way that: (i) is defamatory, libelous, slanderous or obscene; (ii) violates, conflicts with or infringes upon any third party intellectual property rights, including rights of publicity, privacy, copyright, trademark, trade secret, or moral rights; (iii) is threatening, harassing or that promotes racism, bigotry or hatred of any kind against any group or individual; (iv) promotes or encourages violence or destruction of property; or (v) is deceptive, inaccurate, false or misleading.
6.2 You agree to indemnify, defend and hold harmless Goodhunt , its employees, directors, officers, agents, business partners, affiliates, contractors, distribution partners and representatives from and against any and all claims, demands, liabilities, costs or expenses, including attorney’s fees and costs, arising from, or related to, any breach by you of any of these Terms or applicable law.
6.3 You agree that you are not permitted to and will not:
  • solicit log-in information or access an account belonging to someone else;
  • impersonate any other person whether or not that other person is a user of the App;
  • bully, intimidate, or harass any user of the App or other individual in the real world (for instance as part of checking in to a particular location);
  • bully, intimidate, harass or mislead any user of the App or cause any physical or emotional harm to any individual either on the Platform or on any other website, app or platform;
  • bully, intimidate, harass or mislead any user other individual in the real world (for instance as part of checking in to a particular location);
  • use any location data for the purposes of harassment, bullying, intimidation or abuse or to cause physical or emotional harm to any person;
  • do anything to suggest, express or imply that statements made by you are endorsed by us;
  • advertise to or solicit the custom of any of our users;
  • resell or commercially exploit the contents of the App;
  • upload any files or post or publish anything on the App that contain viruses, corrupted files, or malicious code or any other similar software or programs that may damage the operation of another's device;
  • do anything that may result in the damage to property, personal injury or death of another individual; or
  • otherwise do anything illegal, unlawful, misleading, malicious, or discriminatory using the App.
 
VII. DISCLAIMER
7.1 WHILE GOODHUNT USES REASONABLE EFFORTS TO INCLUDE UP-TO-DATE INFORMATION ON THE APP, GOODHUNT MAKES NO WARRANTIES OR REPRESENTATIONS AS TO ITS ACCURACY OR COMPLETENESS. GOODHUNT ASSUMES NO LIABILITY OR RESPONSIBILITY FOR ANY ERRORS OR OMISSIONS IN THE APP OR YOUR SPECIFIC RESULTS AND OUTCOMES FROM USING THE APP. YOUR USE OF THE OFFERINGS (INCLUDING BY PARTICIPATING IN ANY WELLNESS AND FITNESS PROGRAMS) IS AT YOUR OWN RISK. THE APP IS PROVIDED "AS IS" AND GOODHUNT MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND WHATSOEVER FOR THE CONTENT IN OR FUNCTIONS OF THE APP. FURTHER, TO THE FULLEST EXTENT PERMISSIBLE BY LAW, GOODHUNT DISCLAIMS ANY EXPRESS OR IMPLIED WARRANTIES, INCLUDING, WITHOUT LIMITATION, NON-INFRINGEMENT, TITLE, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. GOODHUNT DOES NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED OR ERROR FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE OFFERINGS OR THE SERVER THAT MAKES IT AVAILABLE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. GOODHUNT SHALL NOT BE LIABLE FOR THE USE OF THE OFFERINGS, INCLUDING, WITHOUT LIMITATION, THE CONTENT AND ANY ERRORS CONTAINED THEREIN. UNDER NO CIRCUMSTANCES WILL GOODHUNT AND/OR ANY OF ITS AFFILIATES, LICENSORS, LICENSEES, SUCCESSORS OR ASSIGNS BE RESPONSIBLE FOR ANY DAMAGE, LOSS OR INJURY RESULTING FROM HACKING, TAMPERING OR OTHER UNAUTHORIZED ACCESS OR USE OF THE APP, YOUR DATA OR YOUR ACCOUNT OR THE INFORMATION CONTAINED THEREIN. WE RESERVE THE RIGHT AT ALL TIMES TO DISCLOSE ANY INFORMATION THAT WE DEEM NECESSARY TO COMPLY WITH ANY APPLICABLE LAW, RULE, REGULATION, LEGAL PROCESS OR GOVERNMENTAL REQUEST. YOU WAIVE AND HOLD HARMLESS GOODHUNT AND ITS AFFILIATES, LICENSORS, LICENSEES, SUCCESSORS AND ASSIGNS FROM ANY CLAIMS RESULTING FROM ANY ACTION RELATING TO YOUR ACCOUNT OR TAKEN AS A RESULT OF ANY SUCH DISCLOSURE.
The App may contain links to other websites or applications not maintained by Goodhunt . Other websites or apps may also reference or link to our App. We encourage you to be aware when you leave our App and to read the terms and conditions and privacy statements of each and every website or app that you visit. We are not responsible for the practices or the content of such other websites or apps.
 
ANY WARRANTY THAT IS PROVIDED IN CONNECTION WITH ANY PRODUCTS, SERVICES, MATERIALS OR INFORMATION AVAILABLE ON OR THROUGH THE APP FROM A THIRD PARTY IS PROVIDED SOLELY BY SUCH THIRD PARTY AND NOT BY US.
7.2. Limitation of Liability. IN NO EVENT WILL GOODHUNT BE LIABLE UNDER ANY THEORY OF TORT, CONTRACT, STRICT LIABILITY OR OTHER LEGAL OR EQUITABLE THEORY FOR ANY LOST PROFITS, LOST DATA, LOST OPPORTUNITIES, COSTS OF COVER, EXEMPLARY, PUNITIVE, PERSONAL INJURY/WRONGFUL DEATH, SPECIAL, INCIDENTAL, INDIRECT OR OTHER CONSEQUENTIAL DAMAGES, OR FOR ANY DIRECT DAMAGES, AND/OR ANY OTHER DAMAGES RESULTING FROM YOUR USE OF THE APP, EACH OF WHICH IS HEREBY EXCLUDED BY AGREEMENT OF THE PARTIES REGARDLESS OF WHETHER OR NOT EITHER PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. If any part of these warranty disclaimers or limitations of liability is found to be invalid or unenforceable for any reason or if we are otherwise found to be liable to you in any manner, then our aggregate liability for all claims under such circumstances for liabilities, shall not exceed the amount paid by you, if any, for accessing the App during the prior twelve (12) months).
IF YOU ARE A CALIFORNIA RESIDENT, YOU HEREBY WAIVE CALIFORNIA CIVIL CODE SECTION 1542 IN CONNECTION WITH THE FOREGOING, WHICH STATES: "A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH IF KNOWN BY HIM OR HER MUST HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR."
7.3 Please note that (as described above) certain games or activities may involve going to or otherwise accessing locations in the real world. We are unable to verify or monitor the safety of such locations and the risk involved in accessing certain locations may change over time. As such you are responsible for ensuring your own safety and the safety of others when participating in any activities in the real world and you must exercise proper care and attention at all times. WE WILL NOT BE LIABLE FOR ANY LOSS, DAMAGE OR PERSONAL INJURY TO THE EXTENT SUCH LOSS, DAMAGE OR PERSONAL INJURY ARISES FROM YOUR FAILURE TO TAKE PROPER CARE AND ATTENTION OR WHICH ARISES FROM YOUR NEGLIGENCE IN YOUR USE OF THE APP OR OTHERWISE.
 
VIII. SUSPENSION, ALTER OR TERMINATION
8.1 Goodhunt has the right to take the following measures at any time:
8.1.1 Suspend or restrict your right to use our App, including but not limited to restricting your ability to use certain features or functionality of our App;
8.1.2 Terminate your right to use our App.
8.2 Goodhunt has the right to suspend, alter, terminate he App or part of its functions in accordance with its development plan, and to decide whether or not to provide certain App. Goodhunt does not have an obligation to notify you about the foregoing information.
8.3 Unless stipulated by the local law, you have the responsibility to back up the data stored in Goodhunt . When your service is terminated, Goodhunt has the right to permanently delete all relevant data of you from the server, and does not have the obligation to return or in any form provide to you, except as otherwise provided by our Privacy Policy.
 

IX. PRE-ORDERS TERMS

9.1 Pre-orders are placed for an item that has not yet been released. Pre-orders are usually done weeks to months in advance and at limited quantities. You can find the estimated time of arrival for a particular product within its individual product page. Once your pre-order item arrives and is ready to delivery/shipping, you will be informed via the first email notification.
9.2 Before you complete your purchase, please note:
Full payment is collected at the time of order. No cancellation is accepted after the order is made.
Your order will be shipped when items are in stock. While we try our best to send out the orders within our estimated period, delivery dates are subject to change and we will be in touch should there be any unexpected delays with your order.
If there is any reason we cannot fulfill your order, we will provide a full refund on the pre-ordered items or amend your order if you wish.

X. SHIPPING SERVICE

10.1 Delivery progress
We provide standard express delivery with tracking. Click 【ME】—【My order】—【Check the details】—to check the progress.
10.2 Shipping Restrictions
We only deliver goods to the United States. Shipping addresses outside the United States are not supported.
10.3 Shipping cost
Shipping is FREE during the trial operation period, and we are entitled to terminate the trial period at any time unilaterally.
10.4 Shipping Time
The goods will be shipped from outside of the United States.
International Shipment: estimated 10-15 business days to take
10.5 Late Delivery
Possible reasons for late delivery include an incorrect address shared with us, Abnormal Weather, Flight Delays, any emergency of shipment place & delivery destination, and other force majeure factors, or any other circumstances that can not be fully controlled by the Seller.
10.6 Cancellation refund
The order is irreversible and cannot be cancelled.
10.7 Change order address
Please check the shipping address carefully. If you wish to modify the shipping address after you have placed the order, it is important for you to email us at support@goodhunt.com immediately.
Once the package is shipped, we do not accept any change of shipping address
XI. DUTIES & TAX
11.1 Duties
Duties are included in the price of goods purchased from our website.
11.2 Tax
The buyer shall pay taxes according to various local tax policies, and the specific tax amount shall be subject to the system display when purchasing the goods.
11.3 Colorado Retail Delivery Fee
Effective July 1, 2022, the State of Colorado imposes a retail delivery fee (“Retail Delivery Fee”) on all retail sales that are delivered by motor vehicle to a location in Colorado and that contain at least one item of tangible personal property subject to state sales or use tax. Under Colorado law, we are required to collect this Retail Delivery Fee from you at the time you place your order with us. The Retail Delivery Fee is $0.27 per order, regardless of the number of items in your order, and regardless of the number of shipments needed to deliver all items in your order. The Retail Delivery Fee will appear on a separate line on your invoice or statement.

XII. AFTER-SALES SERVICE
12.1 Defects
Our goods including medals and necklace are limited by existing technology and handmade participation in craft production. Minor defect such as uneven coloring, slight scratches, paint drops or bubbles are normal.
If there are serious defects, please kindly reach us at support@goodhunt.com. With the related order number and the pictures or unpacking video of the related goods within 15 DAYS calculating from the date of delivery.
12.2 NFC function
The NFC physical medals are special items that accompanies the virtual medals in the game.
The NFC physical medals operate through near field communication technology and requires a device with NFC capability. Ensure that your device is unlocked and in close proximity to the NFC sensor when using the NFC. physical medal.
12.3 How to scan NFC medals？
Method 1：
Open the Goodhunt App and navigate to the【Me】tab. Click the "Scan NFC" button to scan the NFC physical medal. Please allow the NFC permission request.

Scan the QRcode below through your mobilephone camera.

XIII. APPLICABLE LAW AND DISPUTE RESOLUTION
13.1 This Agreement is governed by the laws of the State of Delaware.
 
13.2 2 While we will make reasonable efforts to resolve any disagreements you may have with Goodhunt , if these efforts fail you agree that all claims, disputes or controversies against Goodhunt arising out of these Terms or the App (“Claims”) shall be exclusively submitted to binding arbitration (except for matters that may be taken to small claims court), no matter what legal theory they are based on or what remedy (damages, or injunctive or declaratory relief) they seek. This includes Claims based on contract, tort (including intentional tort), fraud, agency, your or our negligence, statutory or regulatory provisions, or any other sources of law; Claims made as counterclaims, cross-claims, third- party claims, interpleaders or otherwise; and Claims made independently or with other claims. The party filing arbitration must submit Claims to the American Arbitration Association and follow its rules and procedures for initiating and pursuing arbitration. Any arbitration hearing that you attend will be held at a place chosen by the American Arbitration Association in the same city as the U.S. District Court closest to your then current residential address, or at some other place to which you and Goodhunt agree in writing, and the arbitrator shall apply the State of Delaware law consistent with the Federal Arbitration Act. A single, neutral arbitrator will resolve Claims. The arbitrator will be either a lawyer with at least ten (10) years’ experience or a retired or former judge, selected in accordance with the rules of the American Arbitration Association. The arbitration will follow the procedures and rules of the American Arbitration Association which are in effect on the date the arbitration is filed unless those procedures and rules are inconsistent with these Terms, in which case these Terms will prevail. Those procedures and rules may limit the discovery available to you or us. The arbitrator will take reasonable steps to protect your customer account information and other confidential information if requested to do so by you or us. Each party to the arbitration will bear the expense of that party’s attorneys, experts, and witnesses, and other expenses, regardless of which party prevails, but a party may recover any or all expenses from another party if the arbitrator, applying applicable law, so determines. The arbitrator’s award is final and binding on the parties.
We will not choose to arbitrate any Claim you bring in small claims court. However, if such a Claim is determined by the court to be outside its jurisdiction, the parties agree that the dispute shall then be submitted to arbitration.
Class Action Waiver: YOU AGREE THAT, BY ENTERING INTO THIS AGREEMENT, YOU AND GOODHUNT ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR OTHER REPRESENTATIVE PROCEEDING OF ANY KIND. CLAIMS AND REMEDIES SOUGHT AS PART OF A CLASS ACTION, PRIVATE ATTORNEY GENERAL OR OTHER REPRESENTATIVE ACTION ARE SUBJECT TO ARBITRATION ONLY ON AN INDIVIDUAL (NON-CLASS, NON-REPRESENTATIVE) BASIS, AND THE ARBITRATOR MAY AWARD RELIEF ONLY ON AN INDIVIDUAL (NON-CLASS, NON-REPRESENTATIVE) BASIS.
Time Bar: ANY CLAIM YOU HAVE MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE DATE OF THE CLAIM.
 
XIV. OTHERS
14.1 We make no promise that materials in/on the App are appropriate or available for use in locations outside the United State of America, and accessing the App from territories where its contents are illegal or unlawful is prohibited. If you choose to access the App from locations outside the United State of America, you do so at your own initiative and are responsible for compliance with local laws which apply to your use of our App in whatever country you are physically located.
14.2 If any part of these Terms shall be held or declared to be invalid or unenforceable for any reason by any court of competent jurisdiction, such provision shall be ineffective but shall not affect any other part of these Terms, and in such event, such provision shall be changed and interpreted so as to best accomplish the objectives of such unenforceable or invalid provision within the limits of applicable law or applicable court decisions. The failure of Goodhunt to partially or fully exercise any rights or the waiver of Goodhunt of any breach of these Terms by you shall not prevent a subsequent exercise of such right by Goodhunt or be deemed a waiver by Goodhunt of any subsequent breach by you of the same or any other term of these Terms. The rights and remedies of Goodhunt under these Terms and any other applicable agreement between you and Goodhunt shall be cumulative, and the exercise of any such right or remedy shall not limit Goodhunt ’s right to exercise any other right or remedy.
